WITNESSES THAT

NOW, THEREFORE, the Parties do hereby agree to form a Joint Venture for the purpose of the supply works of [Insert the works name], Bangladesh against Tender No. [insert the tender no.], Date: [insert the date] jointly.

- TERMS & CONDITIONS:
The Joint Venture shall be known as the “Joint Venture of [insert the 1st company name] & [insert the 2nd company name]” and the office of the Joint Venture for carrying out above works shall be located at [Insert the full address with phone number], Bangladesh.
The Joint Venture will organize, manage and direct the activities for the supply works of [Insert the works name], Bangladesh & successful completion of the above works through the management committee as mentioned below:

The decision of the Management Committee in the supply works of [Insert the full works name], Bangladesh shall be final if awarded by the concerned authority of the Department.
- All expenditures in connection with performance of the services for the supply works will be shared as per share holding both parties.
- First part (insert the company name) will bear Bank Guarantee; Performance Guarantee, Letter of Credit will be open in the name of [Insert the company name] and 2nd Part will be receive all Local Currency on behalf of “Joint Venture of [insert the 1st company name & insert the 2nd company name” from their own Bank account.

5. The Profit or loss, on completion of accounts, accruing form the supply works will be shared proportionally by both Parties.
6. Both the parties of the Joint Venture shall be liable jointly and severally for the execution of the contract in accordance with the contract terms.
